Subsidiary liability of general partners

Subsidiary liability of general partners on general and limited partnership duties is considered in this article. The author points out a series of questions which were not solved definitely in science and case law. Among them we can see questions about conditions of subsidiary liability of general partners, possibility to bear such liability in the face of limited partners, admissibility to place it depending on duties which had come up before the person entered the partnership. The author’s opinion on these problems and some other ones, based on active private-law statutes, is laid out in the article. There is also a supposition about incorrectness of some courts’ findings.
