Implementation of a minimum dividend policy in Russian corporate law

The article deals with the insecurity of the rights of minority participants in a limited liability company from a financial point of view. In this connection, the author analyzed the trends in judicial practice of real Russian companies, according to which it was established that minority participants cannot demand payment of the accumulated and unallocated net profit of the company until the formal procedure is followed and the corresponding decision of the general meeting of the company’s participants is adopted. The problem is due to the fact that in the current legislation there are no peremptory norms for the mandatory distribution of net profit between its participants. The author describes earlier attempts to ensure financial guarantees for the rights of business owners and comes to the conclusion that it is necessary to legislate a “minimum dividend policy”.
