The rights and duties of shareholders at the conclusion of extraordinary transactions

in this article, the author, drawing parallels between the requirements of the current legislation regarding the role of the parties in concluding transactions in the so-called “common format” and at the level of corporate interaction of modern market participants, explores the features of conducting directly large transactions involving counterparties such as shareholders and their representatives. The author defines the legal framework and amendments made to laws to conclude such transactions, the range of competencies in their execution, and also analyzes the judicial practice in this area of relations, identifying the most vulnerable sides of the studied direction.
