Theoretical foundations of legal regulation of beneficial owners of CFC

The beneficial ownership structure was introduced into Russian legislation with the adoption of the Federal Law “On Amendments to Certain Legislative Acts of the Russian Federation Regarding Countering Illegal Financial Transactions”. The beneficial owner is a person who owns a share in the authorized capital, a block of shares, and establishes full control over the corporation in other ways. We can conditionally distinguish two configurations of beneficial ownership: transparent and anonymous. The first includes situations in which the beneficial owner is an individual, legal entity or the parent company of the holding, while the entire structure of the company is registered in jurisdictions that disclose the founders. It is worth considering in detail the regulatory framework for beneficial ownership processes.
